1. Purpose
These Terms and Conditions of Sale govern the services provided by M 3 S TRAIDING WEB LTD (here in after referred to as "the Provider") to its clients (hereinafter referred to as "the Client") in the field of software and web development.
2. Services
The Provider offers IT and digital services including, but not limited to:
Website design and development
Web and mobile application development
Maintenance, updates, and hosting
Technical consulting and support
Details of the services provided are outlined in individual quotes or contracts agreed upon by both parties.
3. Orders
All orders are considered confirmed only upon the Client's written acceptance of a quote (including by email) and, where applicable, the payment of an initial deposit.
4. Pricing and Payment
Prices are quoted in GBP (£) or EUR (€) depending on the agreement.
Invoices are payable within 15 days from the date of issue unless otherwise stated.
Late payments may incur interest charges as permitted by applicable law.
5. Delivery Deadlines
Delivery times are indicative and may vary depending on the scope and complexity of the project.
The Provider will keep the Client informed of any delays.
6. Client Obligations
The Client agrees to provide all necessary information, materials, and timely feedback to ensure the successful completion of the project.
Delays in communication or approvals may affect the delivery schedule.
7. Intellectual Property
The Provider retains ownership of all intellectual property until full payment has been received.
Upon full payment, the rights of use for the deliverables are transferred to the Client, unless otherwise agreed.
8. Liability
The Provider shall only be held liable for proven direct damages resulting from its own fault.
Under no circumstances shall the Provider be liable for indirect damages, including but not limited to data loss or loss of business.
9. Confidentiality
Both parties agree to treat as confidential all information shared in the course of the project.
10. Termination
In the event of a serious breach by either party, the agreement may be terminated automatically following a formal notice that remains unaddressed.
11. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of the United Kingdom.
Any disputes shall be subject to the exclusive jurisdiction of the courts of London.
